Terms of Service

These Terms of Service ("Terms") govern your use of the VoxParse website and API ("Service") operated by VoxParse ("we", "our", "us"). By accessing or using the Service, you agree to be bound by these Terms.

1. Account Registration

To use the VoxParse API, you must create an account by providing a valid email address. You are responsible for maintaining the security of your account credentials, including your API keys. You must notify us immediately of any unauthorized use of your account.

2. API Usage

The VoxParse API is provided for lawful business purposes. You agree not to:

• Use the Service to process audio that you do not have the right to transcribe
• Attempt to reverse-engineer, decompile, or extract the underlying AI models
• Exceed rate limits or attempt to circumvent usage restrictions
• Resell the Service without prior written agreement
• Use the Service for any illegal, harmful, or abusive purpose

3. Prepaid Billing

VoxParse uses a prepaid balance model. You purchase credits in advance, and usage costs are deducted from your balance. Key terms:

• Minimum top-up: $10.00 USD
• Pricing: $0.49 per audio hour (all features included). Volume pricing available for 100+ hours/month.
• Credit expiration: Unused credits expire after 6 months of account inactivity
• Refunds: Unused credit balances are non-refundable except as required by applicable law
• Auto-recharge: If enabled, your payment method will be charged automatically when your balance falls below your configured threshold

4. Service Level

We target 99.9% API uptime but do not guarantee uninterrupted service. The Service is provided on an "as-is" basis. We will make commercially reasonable efforts to maintain availability and notify you of planned maintenance.

5. Data Ownership

You retain full ownership of your audio files and transcription results. We do not claim any rights to your content. Audio files are processed in real time and deleted immediately after transcription completes. We do not use your data to train AI models.

6. Intellectual Property

The VoxParse API, website, documentation, and all associated intellectual property are owned by VoxParse. You are granted a limited, non-exclusive, revocable license to use the Service in accordance with these Terms.

7. Limitation of Liability

To the maximum extent permitted by law, VoxParse shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid to VoxParse in the 12 months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless VoxParse and its affiliates from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

9. Termination

Either party may terminate the agreement at any time. You may close your account by contacting [email protected]. We may suspend or terminate your access if you violate these Terms, engage in abusive behavior, or fail to pay outstanding charges.

10. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email to your registered account address. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Florida.
